Who we are, and what we do?

The Castle Road Community Association (CRCA) was formed on 27 July 2023.

The former Castle Road South Neighbours and Traders Association agreed to close and to form a new Association, the CRCA, with the intention of becoming a Community Interest Company (CIC), to be better able to access funding and work for the benefit of Castle Road and the local community.

The first Annual General Meeting of the CRCA was held on 27 July 2023 when Articles of Association were agreed to establish how it would operate and the area that it would cover.

The Articles confirmed that the CRCA is not-for-profit Association, with up to 10 unpaid volunteer Directors elected annually.

The Articles set out the following Objects of the Association:

To carry out activities which benefit the community, in particular (without limitation) to:

  • Bring together neighbours and traders affected by the road closure to improve community cohesion and mutual support, ensuring regular communication.
  • Raise funds to organise local community events and participate in wider City events to promote culture, friendship, and recreational activity.
  • Raise funds to support and encourage sustainable, well-maintained greening to help transform the living environment and enhance the local community
  • Encourage good business practice and cooperation between traders
  • Promote Castle Road as a destination for businesses and visitors
  • Work to improve access and accessibility for all
  • Work with neighbours and traders to promote environmental benefits and to reduce their carbon footprint
  • Work with property owners to ensure that existing and original features of buildings are properly maintained to preserve and enhance Castle Road as part of Portsmouth City Council Conservation Area Number 12.

The Articles confirm all residents aged 16 or over, property and business owners, Portsmouth High School, and employees of businesses in Castle Road and Regent Place, from the Clocktower and Barley Mow South to the junction of Kent Road and Southsea Terrace are eligible to be a member.

The liability of each member is limited to £1, being the amount that each member undertakes to contribute to the assets of the Company in the event of its being wound up while he or she is a member or within one year after he or she ceases to be a member.

The CRCA holds four general meetings open to all members each year, including an Annual General Meeting. Directors elected at the AGM meet at least four times each year, normally in between general meetings to undertake the business of the CRCA.  

To apply to become a Community Interest Company (CIC), four forms are required by Companies House and the Regulators office.

  • Articles of Association,
  • Form CIC36 setting out a workplan to benefit the local community,
  • A Memorandum of Understanding detailing all ‘subscribers’ who wish to form a company, along with their signature,
  • An IN01 application to form a company.    

The General meeting held on 2 November 2023 considered and unanimously agreed the work plan for 2023/24 detailed in form CIC36. The Memorandum of Understanding and IN01 forms were subsequently completed, and all the requirements of the Regulator and Companies House were finally met in March 2024, when the CRCA was approved to be a CIC.

The 30 May 2024 Annual General Meeting agreed to amend the Articles of Association to create a new role of Heritage Director. They will work with property owners to ensure that existing and original features of buildings are properly maintained to preserve and enhance Castle Road for the benefit of the Community. It also agreed to set out the responsibilities for the three Communications Directors.

  • One Communication Director is now responsible for communications with residents and residential property owners,
  • One Communication Director is responsible for communications with businesses and business property owners,
  • One Communication Director is responsible for maintaining the website and overseeing electronic communications

Steve Brazier
CRCA Secretary

Steve organizes and notifies members about Director, General, and Annual General meetings, circulates information, and takes minutes. Steve manages the CRCA email inbox, handles communications with Companies House, and updates Director details. He also oversees Lottery registration and ensures compliance with Council requirements.

Chairperson

Responsible for keeping records of all current members, new applications, and changes to membership.

Responsible for designing and commissioning projects to enhance the area and liaison with Portsmouth City Council.

Treasurer 

Responsible for maintaining an accurate record of all income and expenditure, providing reports to Director, Annual General and General meetings.

Responsible for work with property owners to ensure that existing and original features of buildings are properly maintained to preserve and enhance Castle Road for the benefit of the community.
